These Terms and Conditions ("Terms") govern your access to and use of foresightiq.co, the ForesightIQ competitive intelligence platform, and related products and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
Eligibility and Authority
You must be at least 18 years old and able to enter into a binding agreement to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Accounts
You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account and must promptly notify us of suspected unauthorized access. We may approve, reject, suspend, or revoke access to protect the Services or enforce these Terms.
Use of the Services
Subject to these Terms and any applicable order form or written agreement, ForesightIQ grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
You may not:
- Use the Services in violation of law or another person's rights.
- Attempt to gain unauthorized access to accounts, systems, or data.
- Interfere with, disrupt, overload, or circumvent security or access controls.
- Introduce malware or use the Services to distribute harmful content.
- Reverse engineer, decompile, or attempt to discover non-public source code, except where such restrictions are prohibited by law.
- Use automated means to scrape or extract the Services beyond functionality we expressly provide.
- Resell, sublicense, or provide the Services to third parties without our written permission.
- Use the Services or outputs to make unlawful, discriminatory, or solely automated decisions about individuals in high-impact areas such as employment, credit, housing, insurance, healthcare, or legal services.
Customer Content
You retain ownership of content you submit to the Services. You grant ForesightIQ a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use that content as necessary to provide, secure, support, and improve the Services.
You represent that you have all rights and permissions needed to provide customer content and direct our processing of it. You are responsible for ensuring that your use of the Services and customer content complies with applicable law and your obligations to third parties.
Public-Source Intelligence
The Services analyze information from public and third-party sources. Source information may be incomplete, delayed, inaccurate, removed, or changed without notice. You are responsible for independently verifying information before relying on it or taking action.
AI-Generated Outputs
The Services may use artificial intelligence to generate summaries, predictions, recommendations, and other outputs. AI-generated outputs may contain errors or omissions and are not statements of fact. Outputs may not be unique, and other users may receive similar content. You must use independent judgment and human review when evaluating outputs.
Intellectual Property
ForesightIQ and its licensors own the Services, including software, design, text, graphics, interfaces, models, compilations, and related intellectual property. Except for the limited right to use the Services under these Terms, no rights are granted to you.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
Third-Party Services
The Services may rely on or link to third-party services and content. We do not control and are not responsible for third-party services, their availability, or their terms and practices. Your use of third-party services may be subject to separate terms.
Fees and Taxes
Fees, billing terms, subscription periods, usage limits, and renewal terms may be described in an order form or other written agreement. Unless stated otherwise, fees are non-refundable and exclude applicable taxes. You are responsible for taxes associated with your purchase, other than taxes based on our net income.
Confidentiality
Each party may receive non-public information that is identified as confidential or should reasonably be understood to be confidential. The receiving party will use reasonable care to protect that information and use it only to perform or exercise rights under the parties' agreement. This obligation does not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or rightfully received without restriction.
Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay applicable fees, or if continued access could harm the Services or others. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and dispute provisions.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FORESIGHTIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
The Services provide business intelligence tools and are not legal, financial, investment, employment, or other professional advice.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORESIGHTIQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORESIGHTIQ'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO FORESIGHTIQ FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless ForesightIQ and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses arising from your customer content, your use of the Services, or your violation of these Terms or applicable law.
Changes to the Services or Terms
We may modify the Services and these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Material changes may be communicated through the Services or by email where appropriate. Continued use after updated Terms take effect constitutes acceptance of the changes.
General Terms
These Terms and any applicable order form or written agreement constitute the entire agreement concerning the Services. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a corporate transaction or by operation of law.
